ENQUIRIES AND DISCOVERY CALLS

Submitting a contact form, booking a discovery call or requesting information does not create a client relationship.

We may decide whether we are the right fit for a project based on factors including scope, timing, budget, values alignment, capacity and the type of support required.

We reserve the right to decline enquiries or projects at our discretion.

PRIVATE PORTFOLIO AND CASE STUDY ACCESS

Some of our work includes sensitive client strategy, positioning, internal business context, private project details or confidential information.

For this reason, we do not publish every case study publicly.

If we share a private portfolio, case study or project example with you, you agree not to:

  • copy, download, reproduce or distribute the material

  • share the link or files with others without our written permission

  • publish screenshots or excerpts

  • use the work as a template for your own business or another provider

  • disclose any sensitive or confidential information contained in the material

Private portfolio access may be revoked at any time.

SERVICES AND PROJECT AGREEMENTS

Any services provided by Soulful Brand Lab will be confirmed through a written quote, proposal, invoice, statement of work, service agreement or other written confirmation.

The specific scope, inclusions, timelines, fees, deliverables, payment terms and responsibilities for each project will be outlined in the relevant project documents.

If there is any inconsistency between these website Terms & Conditions and a signed service agreement, the signed service agreement will apply to the extent of the inconsistency.

QUOTES AND PROPOSALS

Quotes and proposals are valid for the period stated in the document. If no period is stated, they are valid for 14 days from the date issued.

A project booking is not confirmed until we have received any required deposit, signed agreement or written approval requested by Soulful Brand Lab.

We may update pricing, timelines or scope if project requirements change, if additional work is requested, or if the project has not been confirmed within the validity period.

PAYMENT TERMS

Payment terms will be outlined in your quote, invoice, proposal or service agreement.

Unless otherwise agreed in writing:

  • deposits are required to secure project bookings

  • work may not begin until the required deposit or first payment has been received

  • invoices must be paid by the due date stated on the invoice

  • late payment may delay project timelines

  • we may pause work if invoices remain unpaid

  • final files, website transfer, launch support or handover may be withheld until outstanding invoices are paid

DEPOSITS, CANCELLATIONS AND RESCHEDULING

Deposits may be non-refundable where they secure time, planning, resources or project capacity.

If you need to cancel, postpone or reschedule a project, please notify us as early as possible.

Depending on the stage of the project, you may be responsible for:

  • work already completed

  • time already allocated

  • third-party costs already incurred

  • cancellation or rescheduling fees outlined in your project agreement

Specific cancellation and rescheduling terms will be set out in your quote, proposal or service agreement.

CLIENT RESPONSIBILITIES

To help us deliver work effectively, you agree to provide:

  • accurate information about your business, goals, audience and requirements

  • timely feedback, approvals and decisions

  • required content, assets, logins, images, brand materials or access

  • one clear point of contact where possible

  • honest communication if timelines, priorities or circumstances change

Delays in feedback, approvals, content, payments or required access may affect project timelines and delivery dates.

REVISIONS AND FEEDBACK

Your project documents will outline the number of included revision rounds, feedback stages or clarification opportunities.

Additional revisions, changes in direction or work outside the agreed scope may incur additional fees.

Feedback should be clear, consolidated and provided within the agreed timeframe so we can keep the project moving.

TIMELINES

We make reasonable efforts to meet agreed project timelines. However, timelines may change due to factors including client delays, scope changes, technical issues, third-party platform delays, illness, force majeure events or other circumstances outside our reasonable control.

Where a timeline changes, we will communicate with you and work to agree on a practical next step.

THIRD-PARTY PLATFORMS AND TOOLS

Some projects may involve third-party platforms, tools or services such as Squarespace, website hosting providers, domain providers, email marketing platforms, analytics tools, payment processors, scheduling tools, stock asset libraries, fonts, plugins or integrations.

You are responsible for any third-party fees, subscriptions, licences or ongoing costs unless otherwise agreed in writing.

We are not responsible for outages, policy changes, pricing changes, data loss, errors or technical issues caused by third-party platforms or providers.

WEBSITE DESIGN AND TECHNICAL LIMITATIONS

If we design or build a website for you, the website may be subject to the capabilities and limitations of the chosen platform, template, theme, plugins or integrations.

We will make reasonable efforts to create a website that is functional, clear and aligned with the agreed scope. However, we do not guarantee that a website will be error-free, uninterrupted, compatible with every device or browser, or immune from future technical issues.

Ongoing website maintenance, updates, backups, platform management and troubleshooting are not included unless agreed in writing.

MARKETING, STRATEGY AND GROWTH RESULTS

We provide strategic recommendations based on information available at the time, including brand strategy principles, behavioural insight, audience understanding, digital data and business context.

However, we cannot guarantee specific business outcomes, revenue, traffic, sales, engagement, funding, investor interest, media coverage or growth results.

Results can depend on many factors outside our control, including your market, offer, pricing, audience demand, implementation, competition, advertising spend, timing, platform algorithms and broader economic conditions.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Soulful Brand Lab retains ownership of our pre-existing intellectual property, including frameworks, processes, templates, methods, strategy tools, design systems, concepts, internal documents and know-how.

Once full payment has been received, you will receive the rights outlined in your project agreement for approved final deliverables.

Unless otherwise agreed, unused concepts, drafts, rejected designs, working files, strategy frameworks, source files and internal project materials remain the property of Soulful Brand Lab.

You must not reproduce, resell, distribute or claim ownership of our intellectual property without written permission.

CLIENT MATERIALS

You confirm that any materials you provide to us, including copy, images, videos, logos, fonts, brand assets, documents, data or content, are owned by you or properly licensed for use.

You are responsible for ensuring that your materials do not infringe another person’s rights.

You agree to indemnify Soulful Brand Lab for claims, losses or costs arising from materials you provide that breach copyright, trademark, privacy, confidentiality or other legal rights.

PORTFOLIO USE

Unless otherwise agreed in writing, we may refer to completed work in our portfolio, proposals, website, social media, presentations or marketing materials.

Where projects involve sensitive information, private strategy or confidential business context, we will use discretion and may present work in a limited or anonymised way.

If you need specific confidentiality restrictions, these should be discussed and agreed in writing before the project begins.

CONFIDENTIALITY

During a project, both parties may share confidential information.

We agree to treat confidential client information with care and not disclose it publicly without permission, except where required by law or necessary for service delivery.

You agree to treat Soulful Brand Lab’s private methods, proposals, strategy materials, pricing, documents, internal processes and private portfolio links as confidential.

COMMUNICATION

We aim to communicate clearly and respectfully.

Primary communication channels, meeting expectations and response times may be outlined in your project documents.

We are not responsible for delays caused by missed messages, incorrect contact details, unavailable decision-makers or communication outside agreed channels.

AUSTRALIAN CONSUMER LAW

Nothing in these Terms & Conditions excludes, restricts or modifies any consumer guarantee, right or remedy that cannot be excluded under Australian Consumer Law or other applicable law.

For services, consumer guarantees may include that services are provided with due care and skill, are fit for a stated purpose and are supplied within a reasonable time where no time has been agreed.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, Soulful Brand Lab is not liable for indirect, incidental, special or consequential loss, loss of profit, loss of revenue, loss of opportunity, loss of data or reputational harm arising from use of our website, services, recommendations or third-party platforms.

Where our liability cannot be excluded, it will be limited to the extent permitted by law.
